TERMS AND CONDITIONS OF SALE

1. Scope and Acceptance

These Terms and Conditions (“Terms”) apply to all B2B quotations, sales, and deliveries of lighting fixtures, drivers, accessories, and related products (“Products”) supplied by Trovato Lighting (“Seller”). By placing an order, the Customer acknowledges acceptance of these Terms. The Customer explicitly waives its own standard terms, including those issued after this document. Any modification is valid only if agreed to in writing in advance by an authorized representative of Seller.

2. Pricing, Quotations & Validity

Quoted prices are in U.S. Dollars (USD). Prices exclude sales tax, VAT/GST, duties, customs fees, brokerage fees, or other governmental charges unless specified. Quotations remain valid for 30 days unless otherwise stated. Seller may adjust pricing due to currency fluctuations, freight increases, supplier changes, or regulatory changes prior to order confirmation.

3. Payment Terms

Standard payment terms are immediate on placing an order unless otherwise mutually-agreed and specified in writing.

4. Delivery, Risk of Loss & Title

Delivery dates are estimates, not guarantees. Seller is not liable for delays caused by freight carriers, customs, or force majeure. Risk of loss passes to Customer upon shipment pick-up by the carrier or physical handover for local pickup. Title transfers upon full payment.

5. Inspection & Claims

Customer must inspect all Products promptly upon delivery. Any claim regarding shortages, damage, or non-conformity must be submitted in writing by email or mail, within 5 days of delivery. Claims received after 5 days are deemed waived. Seller will not appear as a third party in any dispute between Customer and its own clients or end users.

6. Limited Warranty (5 Years — Manufacturer Backed)

Products include a 5-year limited manufacturer’s warranty covering defects in materials or workmanship under normal usage. Warranty exclusions include:

  • Improper installation or wiring
  • Incorrect drivers, power supplies, or controls
  • Damage from voltage spikes, surges, lightning, or water
  • Use with incompatible dimming/control systems
  • Modifications or unauthorized repairs
  • Cosmetic damage or normal wear
  • Labor, removal, reinstallation, field service, or site visits

Seller acts solely as a reseller and will facilitate warranty claims but is not responsible for manufacturer decisions or timelines. Seller’s responsibility is limited to the replacement, repair, or credit issued by the manufacturer.

7. Returns & RMA

Returns require prior written RMA approval. Unauthorized returns will be refused. Special-order, built-to-order, or customized items are non-returnable except for verified warranty defects.

8. Limitation of Liability

To the fullest extent permitted by law, Seller’s total liability is limited to the amount paid for the specific Products at issue. Seller is not liable for indirect, incidental, or consequential damages including lost profits, delays, downtime, installation labor, or project-related penalties. Nothing in these Terms shall be construed as a guarantee of results or performance commitments.

9. Compliance & Installation Responsibility

Customer is solely responsible for ensuring that products are installed by qualified professionals, and products meet local electrical codes, and products are compatible with selected control systems. Seller is not responsible for installation outcomes.

10. Governing Law & Jurisdiction

These Terms are governed exclusively by the laws of the State of Wyoming, without regard to conflicts-of-law principles. Any legal action shall be brought exclusively in the state or federal courts located in Wyoming.

11. Entire Agreement

These Terms constitute the entire agreement between Seller and Customer and supersede all prior written or oral agreements.
